BusyBees Manager
A service of GoldVine Tree LLC, doing business as BusyBees Manager (“BBM,” “we,” “us,” or “our”).
These Terms of Service (“Terms”) are a legal agreement between you and GoldVine Tree LLC, doing business as BusyBees Manager, governing your access to and use of the BusyBees Manager website and application (the “Service”), including during the current Beta Period described in Section 2. By creating an account or using the Service, you agree to these Terms. If you don’t agree, don’t use the Service.
BusyBees Manager is a personal organization and tracking tool for brand ambassadors and promotional/event staff who work with multiple staffing agencies. It lets you log agencies, activations (gigs), hours, mileage, expenses, per diem, and payment status in one place, and generate reports based on the information you enter.
BBM is not a job board, staffing agency, employer, community, or review platform. We do not place you in jobs, negotiate rates on your behalf, process payments between you and any agency, verify the accuracy of any information you enter, or share your notes/ratings with agencies or other users. Any information you record about agencies (contact details, notes, ratings) is for your own personal reference only.
BBM is not a substitute for professional tax, legal, financial, or accounting advice. Reports, totals, and summaries generated by the Service (including income, mileage, and expense figures) are calculated from the data you enter and are provided for your convenience only. You are solely responsible for verifying this information and for your own tax filings and financial decisions. Consult a qualified professional for tax or legal advice.
The entire Service is currently offered as a beta, pre-release version. By using BBM during this period (the “Beta Period”), you’re participating as a beta user, and the following applies in addition to the rest of these Terms:
(a) What “beta” means here. The Service, including any or all of its features, may be incomplete, contain bugs or errors, perform unreliably, or change substantially — including features being added, modified, or removed — without advance notice during the Beta Period.
(b) No uptime or reliability guarantee. We make no commitment regarding uptime, availability, or response time during the Beta Period, beyond the general disclaimers in Section 9.
(c) Your data during beta. We intend to carry your account data (agencies, activations, time/mileage/expense/per diem entries, and related records) forward when the Service exits beta and moves to general availability, and we will make reasonable efforts to do so. However, during the Beta Period your data may be affected by resets, migrations, bugs, or infrastructure changes, and we cannot guarantee its accuracy, completeness, or retention. Given that you may be recording financial information you rely on (earnings, mileage, expenses), we recommend keeping your own backup of anything you can’t afford to lose while the Service is in beta.
(d) Paid plans during beta. BBM accepts paying subscribers while the Service is still in beta. Subscribing to a paid plan does not change the beta status of the Service or remove any of the disclaimers in this Section — paid and free accounts are both subject to the same beta limitations described above, including the possibility of bugs, downtime, or data issues. Billing, cancellation, and refund terms for paid plans are described in Section 5.
(e) Feedback. If you provide feedback, suggestions, or bug reports during the Beta Period, you agree we can use that feedback to improve the Service without any obligation to you. If we’d like to use your name, likeness, or comments as a testimonial in marketing, we’ll ask you separately and won’t bundle that request with any pricing or account benefit.
(f) Ending the beta. We may end the Beta Period, and this Section will cease to apply, once we designate the Service as generally available. We’ll provide reasonable notice of that transition where it affects your account, pricing, or data, consistent with Section 13.
(g) Acknowledgment before subscribing. Before you can subscribe to a paid plan, you’ll be asked to separately and affirmatively confirm that you understand the Service is in beta as described in this Section, and that purchases are non-refundable as described in Section 5(c). We record the date and time of that acknowledgment as part of your account.
You must be at least 18 years old and legally able to enter into a contract to use the Service. By using BBM, you represent that you meet these requirements.
You’re responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@busybeesmanager.com if you suspect unauthorized access. You agree to provide accurate information when creating your account and to keep it up to date.
BBM accepts paying subscribers during the Beta Period described in Section 2. Subscribing to a paid plan does not exempt your account from the beta disclaimers in Section 2 — the Service may still change, contain bugs, or be reset during this period, exactly as described there.
BBM offers multiple plans (currently including a free tier and paid Core and Elite subscription tiers, plus a one-time Founders upgrade), each with different feature access and usage limits as described on our pricing page. We may change plan names, features, limits, or pricing at any time; if you’re a paying subscriber, price-change notice and grandfathering terms are described in Section 5(d).
(a) Billing. Paid subscriptions are billed in advance on a monthly or annual basis (as selected at signup) through our payment processor, Stripe. By subscribing, you authorize us (via Stripe) to charge your chosen payment method on a recurring basis until you cancel.
(b) Free trial. New accounts default to a 14-day free trial, subject to the usage limits described in our current pricing information. The trial period is intended to give you ample time to test BBM’s features before committing to a paid plan. Trial length and limits may change over time and will be reflected in the app or on our pricing page.
(c) Cancellation and refunds. You can cancel your paid subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period, and you’ll retain access to paid features through that date. All purchases are final. We do not offer refunds, for any reason, including for partial billing periods. The 14-day free trial described in Section 5(b) exists specifically so you can evaluate the Service’s features before subscribing to a paid plan — we encourage you to use that period fully before purchasing.
(d) Price and plan changes. If we raise pricing for a plan, existing paying subscribers on that plan will be grandfathered at their current price for as long as they maintain an active, continuous subscription. We reserve the right to modify, limit, or discontinue this grandfathering practice for future price changes, at our discretion. We’ll notify affected subscribers in advance, by email or in-app notice, of any price change and of any change to this grandfathering practice. Continued use of a paid plan after a price change takes effect constitutes acceptance of the new price.
(e) Founders upgrade. The one-time Founders upgrade is a special, limited offering and is not currently available or displayed to all users. Where offered, it upgrades your account to Founders-tier access as described at the time of purchase and is a one-time payment, not a recurring subscription. If you have an active paid subscription (e.g., Core or Elite) at the time you purchase the Founders upgrade, we will prorate the upgrade based on the unused portion of your current billing period.
(f) Offer codes. Promotional or offer codes are subject to the terms disclosed at the time they’re issued and may be limited, non-transferable, and subject to expiration.
You agree not to:
We reserve the right to suspend or terminate accounts that violate these Terms.
You retain ownership of the information you enter into BBM (agency records, activation logs, notes, ratings, etc.) (“Your Content”). You grant us a limited license to host, store, process, and display Your Content solely to operate and provide the Service to you. We do not claim ownership of Your Content and, as noted in Section 1, we do not share your private notes or ratings with agencies or other users.
You’re responsible for the accuracy and legality of Your Content. Don’t enter information you don’t have the right to record (for example, sensitive personal information about a third party beyond what’s reasonably necessary for your own recordkeeping).
The Service, including its design, features, software, and branding, is owned by GoldVine Tree LLC / BusyBees Manager and is protected by intellectual property laws. These Terms don’t grant you any rights to our trademarks, logos, or branding.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CALCULATIONS, REPORTS, OR TOTALS GENERATED BY THE SERVICE WILL BE ACCURATE. YOU ARE RESPONSIBLE FOR VERIFYING ANY FINANCIAL, TAX, OR PAYMENT INFORMATION BEFORE RELYING ON IT. THIS DISCLAIMER APPLIES WITH PARTICULAR FORCE DURING THE BETA PERIOD DESCRIBED IN SECTION 2, AND APPLIES EQUALLY WHETHER YOU ARE USING A FREE OR PAID ACCOUNT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOLDVINE TREE LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100.
Some jurisdictions don’t allow certain limitations of liability, so some of the above limitations may not apply to you.
You agree to indemnify and hold harmless GoldVine Tree LLC / BusyBees Manager from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, Your Content, or your violation of these Terms.
You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, engage in fraudulent or abusive behavior, or for any other reason with reasonable notice, except where immediate termination is warranted (e.g., security or legal reasons). Upon termination, your right to use the Service ends, though certain provisions of these Terms (e.g., Sections 9–11, 14) survive termination.
We may modify or discontinue features of the Service at any time. We may update these Terms from time to time; if we make material changes, we’ll provide notice (e.g., by email or in-app notice) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
(a) Governing law. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
(b) Agreement to arbitrate — please read carefully. THIS SECTION AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO GO TO COURT AND TO HAVE A JURY TRIAL. Except as set out in (f) below, you and BBM agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a “Dispute”) will be resolved by binding individual arbitration, and not in court, as described below.
(c) Informal resolution first. Before starting an arbitration, you agree to contact us at support@busybeesmanager.com and attempt in good faith to resolve the Dispute informally for at least 30 days. We’ll do the same if we have a Dispute with you.
(d) Arbitration procedure. If a Dispute isn’t resolved informally, it will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, before a single arbitrator. Arbitration may be conducted by phone, video conference, written submissions, or in person in Harris County, Texas, as the arbitrator determines. Judgment on the arbitration award may be entered in any court with jurisdiction.
(e) Class action waiver. YOU AND BBM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a class or representative proceeding.
(f) Exceptions. Either party may instead bring an individual claim in small claims court if it qualifies. Nothing in this Section prevents either party from seeking injunctive or other equitable relief in court for claims relating to unauthorized access, intellectual property infringement, or misuse of the Service.
(g) Right to opt out. You may opt out of this arbitration agreement by emailing support@busybeesmanager.com within 30 days of first agreeing to these Terms, stating your name and that you wish to opt out of arbitration. If you opt out, this arbitration agreement won’t apply to you, and Disputes will instead be resolved as described in (h).
(h) Venue for non-arbitrated disputes. For any Dispute not subject to arbitration — including if you opt out under (g), or if this arbitration agreement is found unenforceable — you agree to the exclusive jurisdiction of the state and federal courts located in Harris County, Houston, Texas, and consent to personal jurisdiction there.
(i) Severability. If any part of this Section is found unenforceable, the rest remains in effect, except: if the class action waiver in (e) is found unenforceable as to a particular Dispute, then this entire arbitration agreement (this Section 14, other than (a) and (h)) will not apply to that Dispute, and it will instead proceed in court as described in (h).
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision isn’t a waiver of that provision. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
